MARKETING NAME AND LOGO USE WAIVER

Marketing Name and Logo Use Waiver

This Marketing Name and Logo Use Waiver (“Waiver”) is entered into by and between Perry Pride (“Perry Pride”) and the undersigned individual or entity (“Participant”).

By signing this Waiver, Participant grants Perry Pride permission to use Participant’s name, business name, trade name, company name, logo, trademark, service mark, likeness, photograph, and/or other identifying materials provided by Participant (collectively, the “Marketing Materials”) for marketing, advertising, promotional, public-relations, and informational purposes for Perry Pride's Fall Festival, of the respective year.

1. Permission to Use

Participant grants Perry Pride a non-exclusive, royalty-free license to display, publish, distribute, and otherwise use the Marketing Materials in connection with Perry Pride’s Fall Festival, of the respective year.

2. No Compensation

Participant acknowledges and agrees that the use of the Marketing Materials is voluntary and that Participant will not be entitled to any payment, royalty, fee, or other compensation for such use.

3. Ownership

Nothing in this Waiver transfers ownership of Participant’s trademarks, logos, names, likeness, or other intellectual property to Perry Pride. Participant retains all ownership rights in its Marketing Materials.

4. Approval and Modification

Perry Pride may resize, crop, format, or otherwise make reasonable modifications to Marketing Materials as necessary for design, formatting, or technical purposes, provided that such modifications do not intentionally misrepresent or materially alter the identity or nature of Participant.

Unless otherwise agreed in writing, Participant understands that Perry Pride is not required to obtain additional approval before using the Marketing Materials in accordance with this Waiver.

6. Term and Revocation

This permission shall remain effective until May of the following year or until Participant provides Perry Pride with written notice revoking permission of use. Revocation will not require Perry Pride to recall, destroy, or remove previously printed or distributed materials, or materials that have already been published or otherwise used before receipt of the revocation notice.

7. Entire Agreement

This Waiver constitutes the entire agreement between the parties concerning the use of the Marketing Materials for the purposes described above and may be modified only by a written agreement signed by both parties.

By signing below, Participant acknowledges that they have read and understood this Waiver and voluntarily grant Perry Pride the permissions described herein.

   • Printed and digital marketing materials;

   • Advertisements and promotional materials;

   • Presentations, brochures, newsletters, and event materials;

   • Press releases and public-relations materials; and

   • Participant has the authority to grant the permissions described in this Waiver;

   • The Marketing Materials may lawfully be provided to Perry Pride for the purposes described herein; and

   • Participant’s authorization does not knowingly violate the rights of any third party.

   • ​Participant is of clear mind and not under coercion.
